Terms of Service

HELM is a creative studio operated by Moustafa Ahmed in Egypt. These website terms describe the general way HELM projects are handled. A written quote, statement of work or project agreement can add to or replace these terms for a specific engagement, and the project-specific agreement controls where there is a conflict.
Quotes and scope
Every engagement is based on an agreed written scope and fixed quote before production begins. Deliverables, formats, duration, deadlines and included revision rounds are the ones stated in that scope. Requests outside the approved scope may require a revised quote or milestone.
Timing and first direction
Unless the project quote states otherwise, HELM targets the first creative direction within 5 days after the agreed scope, required starting materials and initial milestone are received. Final delivery timing depends on scope, feedback speed and any dependencies listed in the quote.
Direction approval and HELM guarantee
The story, treatment and key visual direction are presented before full production. If the first presented direction misses the agreed brief, one new direction is included before full production at no additional direction fee. This does not cover a new goal, changed brief or new deliverables introduced after the original direction was prepared.
Product or UI drift from approved references is corrected within the approved scope. The client is responsible for providing accurate, current source assets and identifying any elements that must remain exact.
Revisions
The Product Film includes two refinement rounds. The Launch Film and Launch System include three refinement rounds, unless the written project scope says otherwise. Refinements are changes within the approved direction; a new concept, new script objective or added deliverable may require additional scope.
Payment
Payment is milestone-based and never 100% upfront unless both sides expressly agree otherwise in writing. The amount and timing of each milestone are set out in the project agreement. HELM may pause work if an agreed milestone becomes overdue.
Client materials
By supplying logos, UI, footage, music, trademarks, product imagery or other materials, the client confirms they have the rights or permission needed for HELM to use them for the project. HELM may use AI-assisted or generative production tools as part of the workflow unless the project agreement sets a restriction.
Ownership and source files
After final payment, the client receives the agreed unwatermarked master deliverables and the commercial usage rights stated in the project agreement. Raw working files, prompts, project files, unused concepts and production systems are not included unless they are specifically listed as deliverables. Third-party licensed assets remain subject to their own licence terms.
Confidentiality
Confidential and pre-launch workflows are available, and HELM can work under an NDA when required. Any specific confidentiality, embargo or security requirements should be agreed before sensitive materials are shared.
Commercial results
HELM provides creative and production services. Unless a project agreement explicitly says otherwise, no specific sales, conversion, fundraising, advertising or other commercial outcome is guaranteed.
Changes, cancellation and disputes
Any cancellation, refund, kill fee, rescheduling or dispute terms are governed by the written project agreement for that engagement. If the project agreement is silent, both sides should first try to resolve the issue in writing based on work already completed and committed costs.
